If a buying club doesn't want to agree to the terms of the sale they aren't obliged to buy the player.

If you want to buy the player back then you pay the market price.

On the other hand, with a buy-back clause, we probably aren't paying the full market value. Its often hard to value a young player with potential. We're probably paying over the odds for him as he is now. However it could turn out to be a great price we get him for. It's better for football that they let these young players go and try and make it rather than let them rot in the reserves or play in half decent leagues.

These are all ways in which the big clubs maintain their position over smaller clubs, by gaming the system.
